Press release summary
Labcorp has agreed to acquire selected BioReference Health assets from OPKO Health in a transaction that would expand its specialty testing operations and patient-service network. Announced Oct. 15, the agreement covers BioReference businesses focused on clinical and womenโs health testing, urology and correctional health, along with more than 80 patient service centers.
The transaction also includes the 4Kscore Test, an FDA-approved blood test used to estimate the likelihood of finding aggressive prostate cancer before a biopsy decision. Labcorp agreed to pay $722 million in cash at closing, subject to an adjustment tied to business revenue, plus a potential earnout of as much as $150 million based on 4Kscore revenue. The company expects the acquired operations to generate about $250 million in first-year revenue after closing.
For laboratory readers, the proposed acquisition is significant because it could shift referral patterns, consolidate specialty testing capacity and move a proprietary diagnostic into a larger national network. Integration would also affect laboratory logistics, digital ordering, result delivery and access to collection sites. The deal is not complete, however. It remains subject to regulatory approval and customary closing conditions, and the companies said their operations and services will remain separate until closing. The announcement does not specify laboratory consolidation plans, staffing changes or an implementation schedule.
